What the terms actually say

Section 13.1 — Arbitration

you agree that all disputes... will be resolved by binding, individual arbitration and you and we hereby expressly waive trial by jury. Neither you nor we will participate in a class action or class-wide arbitration

Users are forced into individual arbitration and waive their right to class actions and jury trials.

Section 13.2 — Arbitration Opt-Out

The opt-out process is intentionally difficult, requiring physical mail.

Section 12 — Indemnification

You... agree to defend (at our request), indemnify, and hold the ClickUp Parties harmless from and against any claims, liabilities, damages, losses, and expenses

Users must indemnify the company for legal claims, including attorney fees.

Section 11 — Limitation of Liability

IN NO EVENT WILL THE CLICKUP PARTIES TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OR ACTION EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Liability is capped at $100, which is a significant limitation for business users.
