SMADEX is hereby granted a perpetual, non-exclusive, irrevocable, sublicensable, worldwide, royalty-free license and right to adapt, reproduce, distribute, display, publicly perform and otherwise use the Ad Creative(s)... for SMADEX’s own marketing, research, and product development purposes.
Smadex takes a permanent, irrevocable license to your advertising content, allowing them to use it for their own marketing and product development forever.
In addition, the Client also grants SMADEX a perpetual, irrevocable, sublicensable, non-exclusive, worldwide, and royalty-free right and license to use and retain data collected for the purposes of improving the Services, including our AI-powered technologies and Software.
Smadex claims a permanent right to use your data to train their AI models, which survives even if you stop using the service.
If we modify or update these T&C or any other clause of the Agreement, we will post the revised Agreement, which will become generally effective in 30 days. By continuing to use the Platform and/or the Services after those modifications or updates become effective, you agree to be bound by the revised Agreement.
Smadex can change the terms at any time; if you keep using the service after 30 days, you are automatically bound by the new terms.
THE TOTAL LIABILITY OF A PARTY... WILL NOT EXCEED IN THE AGGREGATE, THE LESSER OF (I) TEN THOUSAND DOLLARS, OR (II) THE FEES PAID TO SMADEX HEREUNDER IN THE TWELVE-MONTH PERIOD ENDING ON THE DATE THAT A CLAIM DEMAND IS FIRST ASSERTED.
Smadex limits their total liability to a maximum of $10,000 or the fees paid in the last year, whichever is lower.
Notwithstanding anything herein to the contrary, a party may disclose Confidential Information in accordance with a judicial or other governmental order or as may be required by applicable law.
Smadex reserves the right to disclose your confidential information to government authorities if required by law.
