What the terms actually say

Section 9 — Limitation of Liability

IN NO EVENT SHALL ASANA... BE LIABLE TO YOU... FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES... IN ANY EVENT, OUR AGGREGATE LIABILITY WILL NOT EXCEED $100.

The company limits its total monetary liability to you to $100, no matter what the damages are.

Section 10 — Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD ASANA, ITS AFFILIATES... HARMLESS FROM AND AGAINST ANY CLAIM OR DEMAND, INCLUDING WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES, MADE IN CONNECTION WITH OR ARISING OUT OF YOUR USE OF THE SERVICE...

You are required to defend Asana and pay its legal fees and damages if a third-party claim arises from your use of the service.

Section 1 — Modifications

If, in Asana's sole discretion, the modifications to these Terms are material, we will provide you with reasonable notice prior to the change taking effect, either by emailing the email address associated with your account or by alerting you through the Service and/or Websites.

The company promises reasonable advance notice by email or in-app alert for material changes to the terms.

Section 12.1 — Modifications to the Service

We reserve the right at any time to modify or discontinue, temporarily or permanently, the Service and Websites (or any part thereof), with or without notice.

The company can change or stop providing the service at any time without warning you.

Section 8.2 — Free User Content

By submitting Free User Content, Free Users grant Asana a license to access, use, copy, reproduce, process, adapt, publish, transmit, and display that Free User Content, in order to provide the Service, and as permitted by Asana's Privacy Statement, including if required to do so by law.

You grant Asana a license to use your content only as needed to run the service and meet legal obligations.

Section 12.2 — Controlling Law

These Terms will be governed by the laws of California notwithstanding its conflicts of law principles.

All disputes are governed by California law regardless of where you reside.
