What the terms actually say

Section 11.8 — Changes to Terms of Service

Ayla may change these Terms of Service and will give Customer notice of any changes by posting an updated version of these Terms of Service online. Any changes will be effective as of the date they are posted, unless otherwise agreed.

The company can update the terms at any time without notifying you via email or in-app alert; you are expected to check the website for changes.

Section 2.6 — Feedback

Customer grants to Ayla a non-exclusive, perpetual, irrevocable, world-wide, royalty-free, fully paid up, sublicensable, transferable right, with full rights to create derivative works, and otherwise use its comments, suggestions, enhancement requests, recommendations or other feedback.

Any suggestions or feedback you provide become the company's property to use, modify, or sell forever without compensating you.

Section 11.9 — Other

Any dispute regarding the Agreement or Order shall be subject to the jurisdiction of the state and federal courts with authority in and over Santa Clara County, California.

Legal disputes must be handled in California courts, which may be inconvenient depending on your location.

Section 6.1 — Use of Data

Customer grants to Ayla a worldwide, non-exclusive, royalty-free, fully paid up, and irrevocable right and license to use, store, process, modify, reproduce, distribute and display the Data, and to transfer Data to third parties, for the purpose of providing the Product and services

The company has broad rights to process and share your data, though it is limited to the purpose of providing the service.

Section 10 — Limitation of Liability

AYLA'S AGGREGATE LIABILITY TO CUSTOMER ARISING FROM OR RELATING TO THESE TERMS OF SERVICE, THE AGREEMENT, OR ORDER, WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT OUT OF WHICH THE ALLEGED LIABILITY AROSE.

The company limits its financial responsibility to the amount you paid them in the last year.
