What the terms actually say

Section 10.1 — Limitation of Liability

NEITHER PARTY, SHALL BE LIABLE... FOR ANY: (d) AMOUNTS IN THE AGGREGATE THAT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO HELPSHIFT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE DATE THE CAUSE OF ACTION ACCRUES.

Liability for damages is strictly capped at the amount paid to the company in the previous year.

Section 9.1 — Indemnification

Each party (“Indemnifying Party”) shall defend, indemnify, and hold harmless the other party... from all liabilities, claims, and expenses... that arise from or relate to any claim.

You are required to pay for the company's legal defense and any resulting damages if they are sued because of your data or use of the service.

Section 2.9 — Feedback

Customer hereby assigns to Helpshift absolutely all right, title and interest in and to the Intellectual Property Rights in the Feedback.

Any suggestions or feedback you provide become the company's property, and they can use them for any purpose without compensating you.

Section 20.4 — Variation

Helpshift shall provide you with 75 days’ notice prior to making any material changes to the Terms by posting a notice on Helpshift’s website, by sending you an email and/or by some other means.

The company promises to provide 75 days of advance notice before implementing material changes to the agreement.

Section 2.2 — Licence grant

Helpshift hereby grants to Customer... a non-exclusive, worldwide, revocable and non-transferable licence.

The license to use the software is explicitly revocable, meaning the company can terminate your access at their discretion.
